MARC4MEDIA^® SUBSCRIBER AGREEMENT

By opening this package or by using this disk or CD, you, the user, agree to the terms set forth in this Subscriber Agreement. These terms apply to your use of the marc4media^® database contained on the enclosed disk or CD and all data and information contained in the database (the “Product”). This subscriber agreement also applies to your use of any updates and modifications to the Product. If you do not agree to these terms, return the Product in the original package to the party that supplied the Product to you, or to marc4media^® (“marc4media^®”), for a refund of any fees paid by you.

TERMS AND CONDITIONS

TERMS OF USE OF THE PRODUCT
marc4media^® grants you a limited non-exclusive license to use the Product. You agree to use the Product only for the purpose of accessing data and information about the works included in the Product. This Product is licensed for use only by you and your authorized employees. You may not permit or authorize anyone else to access or use the Products. If you obtained the Product from an authorized licensee of marc4media^®, you agree to be bound by the terms and restrictions of any sub-license agreement between you and the licensee, provided that such terms are not inconsistent with this subscriber agreement.

RESTRICTIONS ON COPYING AND DISTRIBUTION
You may not make copies of the Product or distribute copies of the Product or any substantial portion of the Product to any third party without the prior express written permission of marc4media^®. Any authorized copies must include an appropriate copyright notice in substantially the following form: “© 2001 Library Conversions, Ltd. Co. You may not remove any copyright or other proprietary notice from the Products. You agree that you will not engage in the systematic retrieval or duplication of the data content of the Product to create or compile a separate collection, compilation, database or directory.

OWNERSHIP OF INTELLECTUAL PROPERTY RIGHTS
The Product and all intellectual property rights in the Product are owned by marc4media^® and these rights are protected by law, including United States copyright law (17 U.S.C. §101 et seq.) and international treaty. Nothing in this Agreement shall give you any intellectual property rights in the Product other than the limited license contained in this subscriber agreement.

LIMITED WARRANTY

• For a period of ninety (90) days from your receipt of the Products, marc4media^® warrants that the Product will conform to the published specifications for the Product, and that the CD containing the software will be free of defects. In the event of any breach of this warranty marc4media^®’s sole liability, and your sole remedy, shall be, at marc4media^®’s option, repair or replacement of the Product or refund of the license fees paid by you.
• MARC4MEDIA^® DOES NOT MAKE, AND EXPRESSLY DISCLAIMS, ANY AND ALL OTHER WARRANTIES WITH REGARD TO THE PRODUCT AND SOFTWARE, INCLUDING, WITHOUT LIMITATION, ALL WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. MARC4MEDIA^® FURTHER DISCLAIMS ANY WARRANTY WITH RESPECT TO THE ACCURACY OR RELIABILITY OF ANY DATA CONTAINED IN THE PRODUCTS.
• In no event will Marc4media^® be liable for any inaccuracy, or unreliability in the Products based upon data or information supplied by you. Marc4media^® has no responsibility to verify the accuracy of any data or information provided by you.
• In no event shall Marc4media’s liability for any claims brought by you, whether based upon a contract, tort or any other legal theory, exceed the amount you paid. Some states do not allow limitations on warranties, so these limitations may not apply to you.
• In no event shall Marc4media^® be liable for any indirect or consequential damages (including, without limitation, damages for loss of business, loss of profits, loss of business information, or other financial loss) arising out of, or related to, your use of the Product, even if Marc4media^® has been advised of the possibility of such damages.

GOVERNING LAW
This Agreement is governed by Arizona law. You agree that any action related to the Product or your use of the Product will be brought in the state or federal courts located in Maricopa County, Arizona, and you consent to the jurisdiction and venue of such courts.
